ARCFORGE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND FREEDOM FROM COMPUTER VIRUS OR OTHER HARMFUL CODE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF ARCFORGE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00). THIS LIMITATION IS CUMULATIVE AND NOT PER-INCIDENT.
While we implement industry-standard security measures including encryption, access controls, and regular security audits, YOU ACKNOWLEDGE AND AGREE THAT:

You agree to indemnify, defend, and hold harmless ArcForge and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the service; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content you create, submit, or share through the service; (e) your negligence or willful misconduct.
You hereby release and forever discharge ArcForge and its officers, directors, employees, agents, affiliates, successors, and assigns from any and all claims, demands, damages, suits, and causes of action of every kind and nature, known or unknown, suspected or unsuspected, that you may have arising from your use of the service. If you are a California resident, you waive California Civil Code Section 1542, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Effect of Termination: Upon termination, your access to the service will cease immediately. We may delete your data after 30 days unless required by law to retain it. Sections regarding liability, indemnification, and dispute resolution survive termination.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware.
Before filing any formal dispute, you agree to first contact us at legal@myarcforge.com and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved this way.
If informal resolution fails, you agree that any dispute, claim, or controversy arising from or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
YOU AND ARCFORGE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights or prevent immediate harm. Small claims court actions are also excluded from the arbitration requirement.
Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ArcForge regarding the Service and supersede all prior agreements and understandings.
Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure: We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, strikes, power outages, or internet disruptions.
Modifications: We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
Related Policies: These Terms incorporate our Privacy Policy, Content & Safety Policy, and DMCA Policy by reference.
Electronic Communications: For contractual purposes, you (1) consent to receive communications from us in an electronic form via the email address you have provided or via the Service; and (2) agree that all Terms of Service, agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that those communications would satisfy if they were on paper.
Survival: All provisions of these Terms which, by their nature, should survive termination will survive termination, including but not limited to: ownership provisions, warranty disclaimers, indemnification, limitation of liability, and dispute resolution provisions.
